To the fullest extent permitted by applicable law, SolvX and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, data, business opportunities, or goodwill — arising out of or in connection with your use of the Service or any products purchased through SolvX.
In no event shall SolvX's total liability to you for all claims arising from or related to the Service exceed the total amount you paid to SolvX in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless SolvX and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Service.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of SolvX shall first be attempted to be resolved through good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within 30 days, both parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.
SolvX reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason — including but not limited to violation of these Terms, fraudulent activity, or conduct that SolvX determines to be harmful to other users or to the business.
Upon termination, your right to use the Service and any purchased products will immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, indemnification, and limitation of liability — shall remain in effect.
